Terms and conditions governing your participation in the Univers Studio Affiliate Program
This Affiliate Agreement ("Agreement") is entered into by and between you ("Affiliate," "you," or "your") and 4ALLSMILES LLC dba Univers Studio ("Company," "we," "us," or "our"), governing your participation in the Univers Studio Affiliate Program ("Program").
If you participate on behalf of a company or other entity, then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to the Agreement, and (b) you agree to the Agreement on the entity's behalf.
By applying for and/or participating in the Program, you agree to be bound by the terms of this Agreement. If you do not agree, you may not participate in the Program.
To enroll in the Program, you must complete the application form on our website. We reserve the right to accept or reject your application at our sole discretion. Upon acceptance, you will receive a unique affiliate code and/or referral link ("Affiliate Link") that tracks referrals attributed to you.
Each Affiliate Link and affiliate code is personal, non-transferable, and intended for your use only. You may not share, redistribute, or publicly disclose your affiliate code(s) to other individuals for their use. Violation of this provision may result in immediate termination and forfeiture of unpaid commissions.
Recurring Commission: Thirty percent (30%) of each subscription payment made by a referred customer, for a period of six (6) consecutive months from the date of the customer's first paid subscription.
The commission applies to monthly subscription payments for the following plans:

Commissions are calculated based on actual payments received. If a referred customer cancels, downgrades, or fails to make a payment, the commission for that payment period will not be owed.
When a potential customer clicks on your Affiliate Link, a tracking cookie is set for a period of ninety (90) days. If the customer subscribes to a paid plan within this 90-day window, the referral is attributed to you, even if the subscription does not occur on the same day as the initial click.
You are solely responsible for any taxes, duties, or fees related to commissions earned under this Agreement. We may provide a Form 1099 or other applicable tax document as required by law. It is your responsibility to maintain accurate tax and payment information. Failure to do so may result in the Company withholding commissions until the information is provided.

The Company reserves the right to terminate your participation in the Program and forfeit unpaid commissions if you engage in any of the following:
We may provide you with promotional materials, logos, banners, and other assets ("Program Materials") for use in promoting Univers Studio. You may use the Program Materials solely for the purpose of promoting the Program and in accordance with any brand guidelines we provide.
All intellectual property rights in the Program Materials, the Univers Studio brand, and the Univers Studio platform remain the sole property of the Company. You do not acquire any rights in our intellectual property through participation in the Program.
By participating in the Program, you grant Univers Studio permission to use your name, channel or website name, and testimonials for promotional purposes related to the Affiliate Program. This may include referencing you as an Affiliate Partner on our website or in marketing materials. We will make reasonable efforts to notify you in advance of such use.

We will make reasonable efforts to notify you of material changes via the email address associated with your affiliate account. Changes will take effect thirty (30) days after notification, unless otherwise specified. Continued participation in the Program after changes take effect constitutes acceptance of those changes.
Commission rates in effect at the time a referral subscribes will be honored for the full 6-month commission period of that referral, regardless of subsequent rate changes.
This Agreement is effective upon your acceptance into the Program and continues until terminated. Either party may terminate the Agreement at any time, for any reason, by providing written notice (email is sufficient).
Upon termination:
All confidential information disclosed by one party to the other during the term of this Agreement, including but not limited to business, technical, financial, and customer information, shall remain the sole property of the disclosing party. Each party agrees to keep in confidence and not use or disclose such information without the express written permission of the disclosing party.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless 4ALLSMILES LLC, its directors, officers, employees, and agents against any claims, actions, demands, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your breach of this Agreement, (ii) your promotional activities, (iii) any content on your website, channel, or social media not attributable to us, or (iv) any violation of applicable law in connection with your participation in the Program.
This Agreement shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
